Catseye Response Medical Services
Agreed Price means the price stated in the Quote.
Additional Charges means charges for services outside the agreed scope.
Event means the event described in the Quote.
Personnel means employees, volunteers or approved contractors engaged by us.
Designated Treatment Area means a safe, accessible and appropriately equipped area provided for medical treatment.
Force Majeure Event means circumstances beyond reasonable control including severe weather, pandemic, government action, war, terrorism or infrastructure failure.
The Contract becomes legally binding upon written booking confirmation issued by us. Acceptance of a Quote alone does not create a binding agreement.
You are responsible for providing accurate event details and conducting a suitable Risk Assessment. We may recommend appropriate medical cover levels; however, overall responsibility for event safety remains with you.
Neither party shall be liable for delay or failure caused by a Force Majeure Event. The affected party shall notify the other as soon as practicable and take reasonable steps to mitigate impact.
If disruption continues for more than 30 consecutive days, either party may terminate the Contract. Payment is due for services delivered; prepaid sums for unperformed services will be refunded less irrecoverable costs reasonably incurred.
Invoices are payable within 14 days unless otherwise agreed in writing. Late payments may incur interest at 4% above the Bank of England base rate.
Additional Charges may apply where the Event duration or scope materially changes.
We act as an independent Data Controller under UK GDPR and the Data Protection Act 2018 regarding patient medical records.
Personal data is processed for medical treatment, safeguarding and regulatory compliance. We implement appropriate technical and organisational measures and will not disclose identifiable patient data without lawful basis or consent.
Nothing in this Contract limits liability for death or personal injury caused by negligence, fraud, or any liability which cannot lawfully be excluded.
We shall not be liable for loss of profit, revenue, business opportunity, goodwill or indirect or consequential losses except in cases of wilful misconduct or gross negligence.
Each party shall take reasonable steps to mitigate any loss suffered.
All intellectual property remains with the originating party. Confidential information shall not be disclosed for three years following termination except where required by law.
Either party may terminate for insolvency, material breach not remedied within 14 days, or prolonged Force Majeure.
This Contract is governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
